4. Limitations on Services Provided:

  1. Services provided by Asia Innovative Online Sdn Bhd are limited to development and consultancy. Operational responsibilities, including maintenance and ongoing support, are excluded from the scope of services.

5. Client Obligations:

  1. Clients are required to make full payment before any services are provided by Asia Innovative Online Sdn Bhd.

6. Responsibilities of the Client:

  1. Clients are responsible for providing all necessary materials and information required for project development.

  2. Compliance with project milestones and deadlines is crucial for the successful completion of the project. The project timeline and milestones will be established through collaborative discussion between Asia Innovative Online Sdn Bhd and the client during initial meetings.

7. Intellectual Property Rights:

  1. Asia Innovative Online Sdn Bhd recognizes and respects the intellectual property rights of its clients.

  2. All intellectual property rights to the completed product belong to the client. However, Asia Innovative Online Sdn Bhd retains the rights to display and showcase the developed materials for portfolio and promotional purposes.

  3. Raw source code developed by Asia Innovative Online Sdn Bhd remains the property of the company and will not be reused for other projects without explicit permission.

8. Payment Terms:

  1. For projects exceeding MYR 50,000, payment will be made in progressive installments as mutually agreed upon by Asia Innovative Online Sdn Bhd and the client.

  2. Pricing structure will be determined based on the scope and complexity of the project, and rates will be discussed and agreed upon during consultations with Asia Innovative Online Sdn Bhd.

9. Confidentiality and Non-Disclosure:

  1. Asia Innovative Online Sdn Bhd is committed to maintaining the confidentiality of client data and project details.

  2. The company will not disclose any confidential information to third parties unless required by law enforcement authorities.

10. Liability and Indemnification:

  1. Asia Innovative Online Sdn Bhd bears no responsibility for any liabilities arising from client actions or decisions.

  2. In the event of non-payment or failure to provide necessary details by the client, Asia Innovative Online Sdn Bhd reserves the right to terminate the agreement. Refunds may be issued based on the proportion of completed work.

11. Dispute Resolution:

  1. In the event of disputes between Asia Innovative Online Sdn Bhd and the client, efforts will be made to resolve the matter through negotiation and mediation.

  2. If resolution cannot be reached, disputes will be resolved through litigation, subject to the laws and jurisdiction of Malaysia.

  1. The agreement may be terminated if the client fails to adhere to payment schedules or if the project is not completed within the agreed timeline.

  2. Upon termination, any completed work will be delivered to the client, and any outstanding payments will be settled based on completed project milestones.

13. Changes to Terms and Conditions:

14. Compliance with Laws:

Any refunds granted will be based on the portion of the project budget that remains unused, minus any applicable cancellation fees or expenses incurred.

Refund Policy

Eligibility Criteria: Clients are eligible for a refund if no deliverables have been executed by Asia Innovative Online Sdn Bhd. The refundable amount excludes payments made to third-party suppliers, including freelancers, outsourcing partners, or any man-hours already served.

Refund Process:

  2. A meeting will be scheduled to discuss the refund request and determine the refundable amount.

  3. Following the meeting, a summary of the refund agreement will be provided to the client via email.

  4. Refunds will be processed within 120 days and credited to the client's appointed account.

Refund Timeframe: Clients can expect to receive their refund within 120 days after the request has been approved.

Refund Methods: Refunds will be issued via bank transfer or any method requested by the client. Any additional charges incurred by third-party payment gateways will be the responsibility of the client.

Non-Refundable Items or Services: Services that have already been rendered or initiated are not eligible for refunds.

Cancellation Fees or Restocking Fees: In the event of cancellation, clients will incur a non-negotiable cancellation fee equivalent to 5% of the final project amount. This fee covers administrative expenses and resources allocated to the project.

Partial Refunds: Clients may be eligible for partial refunds based on the amount of work completed. The refund calculation will deduct the total man-hours delivered from the total service charges, minus the 5% cancellation fee.

Exceptions:

  1. Services discounted more than 10% are not eligible for refunds.

  2. Custom-made or personalized services are non-refundable.

Customer Responsibilities: Clients are responsible for any third-party charges incurred during the refund process, including but not limited to legal fees, payment gateway fees, and bank charges.
